Job Vacancy For Assistant Company Secretary



A reputable non-bank financial institution is seeking to recruit suitable persons as Assistant Company Secretary.

Purpose of the Position

• To support the company Secretary to assist the Board to comply with the company's constitution and with relevant enactments, as well as provide legal service to the company

Reports to: The Company Secretary

Duties/Responsibilities

• Assist the company Secretary in the following:

Board Duties

• Assist with the organization of Board and Committee meetings in line with Annual Meetings Calendar
• Prepare draft agenda in consultation with company Secretary
• Assist with collation of reports/documents for meetings
• Assist with preparation of summaries of committee meetings for reporting
• Assist with communication of board decisions to relevant stakeholders and keep copies of directives
• Ensure that minutes of board and committee meetings are secure
• Maintain official records of Directors
• Ensure Regular Update of Board Charter with international best practices
• Perform other duties that may be assigned

Qualification Required & Experience

• A qualified lawyer with a minimum of 3 years of experience as a legal assistant/secretary, preferably in a law firm or in a corporate legal department
• Excellent knowledge of applicable laws
• Confidential, discreet and diplomatic
• Detail-oriented and highly organised
• Excellent verbal and written communication skills and professional demeanour
• Ability to work independently, manage large workloads and keep deadline
• Strong knowledge of Microsoft office, including word, excel and outlook.
