Development Bank Ghana (DBG) is a development finance institution established by the Government of Ghana with the support of international partners namely World Bank, European Investment Bank, German Development Bank, and the African Development Bank.

DBG’s principal objective is to support the economic transformation in Ghana by increasing access to finance for Ghanaian enterprises, particularly small and medium enterprises (SMEs). DBG primarily provides long-term wholesale financing lines of credit and partial credit guarantees to eligible financial institutions as well as technical assistance to participating financial institutions and their relevant borrowers.

The Bank also provides business development services and related development banking activities. DBG is leveraging technology and digital platforms to provide resources and capacity building to SMEs. DBG is seeking seasoned individuals with relevant industry and development banking knowledge to lead DBG’s company secretarial, compliance and corporate communications activities. Role Summary:

• The Company Secretary is responsible for overseeing the Bank’s legal and corporate governance functions.
• This role ensures compliance with all regulatory and legal requirements, provides legal advice to the Board and
Management, and safeguards the Bank’s interests in legal matters.
• As Company Secretary, the role also involves supporting the Board in fulfilling its statutory obligations and promoting best corporate governance practices.

Key responsibilities of the Company Secretary include the following:

Corporate Governance & Compliance:

• Assist the Board in complying with the constitution of the Company and all relevant laws.
• Provide the Board with guidance on their duties, responsibilities, and powers.
• Advise directors on their responsibilities and corporate governance requirements.
• Inform the Board of laws relevant to meetings of shareholders and directors, including compliance risks.
• Ensure all statutory forms and returns are duly filed with the Registrar of Companies.

Board & Shareholder Support:

• Ensure the Board of Directors receive complete, adequate, and timely information for meetings.
• Prepare and issue notices in the name of the Company.
• Assist Board of Directors in conducting performance evaluations.
• Carry out duties as assigned by the Board.

Statutory records and filings:

• Keep the books and records of the Company.
• Ensure that minutes of meetings of shareholders and directors are properly recorded and kept.
• Maintain all statutory registers of the Company.
• Ensure the annual financial statements are dispatched to entitled recipients.

Qualification Required & Experience

Education, Professional Qualifications and Experience Required:

• Bachelor’s degree in law (LLB) from a recognized institution.
• Barrister-at-Law (BL) / Call to the Bar – Must be enrolled to practice and in good standing as a barrister or solicitor in the Republic of Ghana.
• Minimum 10+ years of legal experience, with at least 5 years in a senior legal or company secretarial role, preferably in the banking/financial sector.
• Professional Qualification or tertiary-level qualification to perform the functions of a Company Secretary.
• Master’s degree in law (LLM), Business Administration (MBA), Finance or a related field is preferred.
• Relevant Professional Certifications such as: Chartered Governance Institute (CGI) certification (formerly ICSA), Certification in Corporate Governance or Compliance, Membership in a recognized legal or corporate governance body is an added advantage.
• Strong knowledge of governance and compliance laws, banking regulations, and corporate law.
• Appreciation and application of all relevant laws affecting the banking sector.
• Experience in contract negotiation, litigation management, and risk mitigation.
• Proven expertise in regulatory compliance and engagement with financial sector regulators.
• Hands-on experience in company secretarial duties, including preparing agendas, minutes, and governance documentation.
• Strong background in policy drafting, legal advisory, and internal control frameworks.
• Ability to develop and implement legal strategies that align with the Bank’s business objectives.
