A reputable company in the oil and gas industry is seeking a qualified and competent individual who meets the requirements to apply for the following role:- Legal Counsel
Job Purpose:
• The legal counsel is responsible for supervising the company's legal affairs. He/She will be directly involved in complex business transactions in negotiating critical contract. This role will also deal with a variety of commercial and client issues and generally handling the assorted business/legal matters that arise such as litigation management, HR/employment issues, corporate governance, data protection and real estate issues.
Key Responsibilities
• Participate in the definition and development of coporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters
• Work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted
• Assume responsibility for ensuring that the company conducts its business in compliance with all applicable laws and regulations
• Structure and manage the company's legal function and staff including selection, retention, management and evaluation of all outside counsel
• Advise on legal aspects of the company's financing including assessing and advising on current and future business structures and legal entities
• Analyze & advise staff on contract status, legal compliance risks, business terms of various deals and exposures
• Provide counsel with respect to the company's implementation of corporate compliance-related initiatives
• Monitor new laws, rules and regulations relevant to the company's operations
• Responsible for contract negotiation, execution and management process, including: review and revising contracts within requisite time periods
• Serve as key lawyer/legal advisor on all major business transactions
• Responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for the company and clients, including: Through put Agreements, Land leases, Confidentiality agreements and other general business contracts both domestically and internationally
• Evaluate the merits of major court cases filed against or on behalf of the company
Qualification Required & Experience
• Bachelors of Laws degree (LLB) from accredited universities
• Must be licensed to practice in Ghana
• 10+ years of extensive legal experience at a law firm or legal department
• Experience working on matters of corporate governance required
• Solid experience in handling litigation and investigations
• Experience managing other lawyers and supervising support staff in a corporation is required as well as experience with cost effective management of outside legal resources
• Solid understanding of business operations, negotiation tactics, and corporate governance issues
• Basic knowledge of Public Procurement and Energy Law
• Excellent stakeholder management skills
• Strong communication skills - oral, written, and presentation
• Ability to multi-task and meet deadlines
